Assistant General Counsel

Primary Responsibilities:
  • Directs and engages in long range planning for the operations and activities of the legal practice area(s) over which the associate has management responsibility.
  • Has responsibility for recruiting, retaining, managing, training and otherwise supervising all attorneys and other staff within legal practice area(s) including conducting performance assessments, establishing goals and developing careers and succession planning.
  • Establishes and manages budget relating to legal practice area(s) and monitors and controls costs within such area(s).
  • Works with the General Counsel and other leaders to establish and support the Departments Mission Statement and to collaborate across the Departments practice areas in establishing long range planning for the Departments operations and activities and to fairly allocate assignments, reward performance and identify and recognize high potential associates.
  • Advises the General Counsel and other members of the Company's senior management regarding current and evolving issues in legal practice area(s) and may support one or more committees of management.
  • Works closely with managers of business area(s) that are supported by the legal practice area(s) to understand and, within the bounds of law and ethics, to support the Company's goals and objectives.
  • Identifies legal risks associated with legal practice area(s) and the business areas that such legal practice(s) support and develops controls and training to detect and mitigate such risks. 8. As needed, performs or provides leadership and direction of legal projects and litigation, including the preparation of legal research, memoranda, documentation and the delivery of advice.

Key Relationships:
  • Provides legal advice and assistance to management associates within and pertaining to specialized area(s) of practice and/or Company's business activities.
  • Provides legal advice and assistance to management associates outside of, but pertaining to, specialized area(s) of practice and/or Company's business activities.
  • Consults with, and/or obtains guidance from, senior management, including the General Counsel and may consult with and advise the Board of Directors.
  • Manages and advises junior attorneys, paraprofessionals, and/or administrative staff.

Key Challenges:
  • Ability to work efficiently with others and to coordinate a variety of internal and external activities having legal significance to the Company.
  • Judgment to provide appropriate solutions and/or to identify appropriate resources to develop and implement solutions to achieve Company objectives within the bounds of the law.

Recommendations & Decision-Making:
  • Recommendations concerning action to be taken to protect and/or promote the legal rights and interests of the company and its subsidiaries.
  • Identification of areas of legal or ethical risk and recommendations regarding mitigating those risks.
  • Strategy concerning the approach to, and resolution of, issues within legal practice and/or business activity area(s).
  • Distribution of assignments and duties for maximum utilization of internal resources and, within budget constraints, external resources as appropriate to satisfy responsibilities.

Minimum Qualifications:
  • A minimum of 15 years of combined Litigation and Intellectual Property experience
  • In depth subject matter expertise in Intellectual Property.
  • Proven leadership and management competencies as demonstrated by prior staff/department management experience.
  • The candidate must be a self-starter with excellent advocacy, analytical, and communication skills who enjoys challenging work responsibilities and close interaction with business clients.
  • Bar admission as well as eligibility for admission to the Texas Bar is required.
